Here's an overview of the video tutorial for the Shipping Finance course by Mr. Vinay Naidu. Mr. Naidu, with over four decades of leadership experience in maritime finance, has created an 11-chapter video series that covers various aspects of shipping finance, bridging the gap between theoretical and practical knowledge related to the subject as per ICS book syllabus.

Chapter-wise Breakdown

The video tutorials are structured into 11 chapters, each focusing on a specific area of shipping finance.

Chapters 1 & 2: Market Fundamentals

These chapters introduce the basics of shipping finance, including the relationship between freight and finance and the objectives of both lenders and borrowers. They explain shipping cycles (trough, recovery, peak, and collapse) and how to develop financing strategies for each phase. The tutorials also cover the consequences of ignoring these cycles, the risks involved for both borrowers and lenders, and the impact of the 2008 financial crisis on the shipping market and finance.

Chapters 3 & 4: Loan and Credit Analysis

This section dives into the specifics of loan documentation and assessment. Topics include the loan structuring process, bank credit policies, and the concept of Loan-to-Value (LTV)

The tutorials also detail the Six C's and CAMPARI frameworks for credit assessment, and the importance of analyzing the customer, vessel, transaction, and charterer. Key elements of loan agreements, covenants, and the process for loan default and enforcement, including Ship mortgages and judicial sales are also covered.

Chapter 5: Legal Aspects

This chapter focuses on the legal framework of ship finance. It discusses UK ship registration, the 64 shares rule, and the roles of flag states and open registries. The tutorials also explain ship mortgages, their ranking, and enforcement procedures, as well as the concepts of maritime disputes, Admiralty Jurisdiction, and the in rem and in personam procedures. The process of Ship arrest and the benefits of arbitration in the shipping industry are also explored.

Chapters 6, 7, & 8: Funding Sources

These chapters explore different sources of finance, starting with equity (private and public) and the IPO process for shipping companies. They differentiate between debt and equity, and discuss market participants and lending models before and after the 2008 crisis. The tutorials also cover various types of loans, such as senior bank loans, revolving credit facilities, and junior debt, as well as alternative financing methods like seller's credit and private placements.

Chapters 9, 10, & 11: Specialized Finance & Structure

The final chapters cover specialized financial instruments and structures. Topics include debt financing and bond markets (e.g., Norwegian and Title XI bonds). The tutorials also examine other forms of finance like securitization, leasing (including Islamic and operating leases), and the KG and KS financing models. The series concludes with a discussion of the debt-equity structure in shipping finance, the impact of the Basel Committee and Basel III, and the benefits of leverage in relation to shipping cycles.

Practice and Assessment

The course includes over 230 multiple-choice questions (MCQs) with answers and explanations to help students solidify their understanding of the concepts. These are distributed throughout the chapters and are also available in a dedicated Q&A module. The total duration of all video chapters is approximately 250 minutes.
